Mr. Womer has served as an investment banking professional for over 30 years with an emphasis on lower middle market M&A transactions, institutional capital formation, and alternative liquidity transactions (ESOP formation, control shareholder recapitalizations, management-led buyouts). Mr. Womer has personally managed or co-managed over 130 such transactions over the course of his career. The typical range of valuation of such transactions has been $5M to $125M.

 

Highlighted Transactions:

 

Cyber Security (Defense Health).  Mr. Womer co-managed, the sale of KSH Solutions, Inc. (Charleston, SC) a provider of Information Assurance services focused on the DoD healthcare to private equity backed ECS Federal (Fairfax, VA).

Hospitality Institutional Equity. NYSE Insurance Company acquisition of a Preferred Equity Investment in a four-hotel portfolio owned and managed by Pinnacle Hotel Group.  Transaction value $12.5M.  NCC ran a competitive process for Pinnacle with multiple financial and strategic bidders and successfully completed the transaction. 

ESOP Formation DoD Contractor. Advised the owners of SDVOSB Defense contractor on the formation of an Employee Stock Ownership Plan.  Secured multiple offers for the funding which provided the taxed deferred liquidity to ownership, while assembling the team of other expert advisors instrumental to completion of the transaction.

Cross Border Buyout: Initiated HIG Capital’s (Miami, FL) acquisition of an oleo chemical manufacturing operation from Croda (UK) with a transaction value $140M. National Capital initiated the transaction on a proprietary basis and after meeting Croda in the UK and ultimately secured exclusivity for the purchase.  It later placed equity funding with sponsor HIG Capital, Miami, FL and NCC Managing Director, Bob Drennan later served as Chairman of the Board.   The platform ultimately grew significantly through bolt-on acquisitions and later exited in a successful strategic sale. 

Cyber Security M&A: Atlan Laboratories (McLean, VA) sale to SAIC (San Diego, CA). Atlan was the leading cyber security assessment firm for Cryptographic Security Models developed by the National Institute of Standards and Technology (NIST) known as FIPS 140-2.  NCC ran a competitive sell side process with multiple bidders yielding a premium valuation for our client.

Defense Communication Services: ESSI’s (St. Louis, MO) acquisition of TAMSCO. Transaction value $80M TAMSCO was a Defense and Aerospace company specializing in secure mobile communications for the Department of Defense.   Mr. Womer and NCC Managing Director, Jay Wright evaluated and secured multiple options for exit on behalf of the owners of TAMSCO including a private equity recapitalization and IPO strategy.  Ultimately TAMSCO accepted the strategic bid from ESSI which was the equivalent of 13x TTM revenue.
